Requirements for a limited liability company in Slovakia

Before deciding to start a new company in Slovakia, read the information below to understand the characteristics of a limited liability company:

The type of company is a limited liability company (spoločnosť s ručením obmedzeným, hereinafter referred to as S.R.O.)..

Number of directors – from 1 to 50.

Number of employees – unlimited.

Authorized capital – from €5,000.

Liability – a firm has limited liability only for its assets and share capital.

Accounting – tax returns along with the financial statements must be submitted annually within three months after the end of the financial year.

Document requirements:

Certified copy of passport;
Certified copy of the document proving residence (not older than three months).

Taxation in Slovakia:

Corporate tax: 21%.

A reduced rate of 15% applies to companies with income not exceeding €49,790 for the relevant tax period.

Personal income tax: 19%.

If the income exceeds the amount of €38,553 the exceeding part will be taxed at the rate of 25%.

Social security deductions:

Social insurance – 9.4% for the employee (maximum contribution per month of €745) and 24.4% (maximum contribution per month of €1,935) for the employer;
Health insurance – 4% for the employee and 10% for the employer;
The employer pays 0.8% for personal accident insurance.

Dividends: 7%.

VAT: 20%.

A reduced rate of 10% applies to certain goods and services.
