Step 1. Initial setup

The following information and documents are required for a company incorporation:

  • 3 company name options
  • Description of the company structure
  • Description of games, gaming certification, which is supposed to be provided or agreements with licensed game providers
  • Proof of ownership of the domain, indicating that the provided URL belongs to the company or one of the founders
  • Up-to-date business plan

For individuals (UBO, Director):

  • Certified copy of international passport with English translation
  • Certified copy of birth certificate
  • Certified copies of two different documents confirming the address of residence: a utility bill no older than 3 months or a bank statement in English and notarized no older than 90 days
  • Letter of recommendation from a lawyer/accountant (issued within the last 3 months) of which you have been a client for at least 2 years
  • A letter of recommendation from a bank (issued within the last 3 months) of which you have been a customer for at least 2 years
  • Up-to-date signed CV
  • Declaration of origin of funds of the founder and director in English (template will be provided)

Requirements for an IBC in Anjouan

  1. IBCs are regular companies which can be incorporated for any purpose but may not carry out business anywhere in Anjouan or with any Anjouan citizen; they are not subject to any taxes or reporting requirements whatsoever.
  2. Corporate endings in most languages are acceptable (Corp, Inc, Ltd, Kft, GmbH, PLC, BV, SPRL, SARL, NV, BVBA, SA, RT, AG LLC, etc.).
  3. Companies are usually limited by share capital, but may also be limited by guarantee, or, unusually, by both.
  4. The minimum number of shareholders/directors is one who can be an individual or a company (if an IBC has more than one shareholder, it shall have at least two directors).
  5. No share capital is required.
  6. An IBC shall at all times have a registered office in Anjouan which may be the office of its registered agent in Anjouan.
  7. An IBC must at all times have a registered agent approved by the AOFA.
  8. An IBC may not hold immovable property in Anjouan.

  1. Shareholders and directors may be persons who do not have any debts or criminal records.
  2. There are no residency requirements for shareholders and directors.
  3. Licensees must provide a detailed business plan.
  4. Licensees are required to provide periodic reports and meet financial performance requirements.
  5. Licensees must take all reasonable steps to prevent AML/CFT risks.
  6. Licensees must appoint a Compliance Officer.
  7. Licensees must designate a senior officer as a Compliance Officer who will report to the regulator on iGaming compliance matters (such an employee may be the director of the company).
  8. The paid-up capital must be at least €250,000.
  9. The licensee (and, where appropriate, every officer, servant or agent of the licensee) must comply with all the requirements imposed on it by the gaming law.
  10. The licensee may advertise its interactive gaming services as it sees fit, provided that advertisements must not bring the Island of Anjouan into disrepute or promote gaming amongst under-aged persons.
  11. The licensee must establish and maintain appropriate and adequate procedures under which it can identify players who are, or appear to be at risk of becoming, compulsive gamblers and provide to such person’s sufficient information and assistance to enable them to obtain counseling or access to support organizations.
  12. The licensee must make all reasonable efforts to keep abreast of international developments as they affect the lawfulness of global interactive gaming and inform itself of jurisdictions where its activities or those of its players are explicitly prohibited and use its best endeavors not to play interactive games where such interactive gaming constitutes criminal activity there on the part of any participant.

Taxes in Anjouan

Gross gaming revenue tax is not required for operators who have obtained an Anjouan gambling license

According to the International Business Company Act 2005 (IBC Act):

An IBC shall not be subject to any corporate tax, income tax, withholding tax, capital gains tax or other like taxes based upon or measured by assets or income originating outside Anjouan or in connection with matters of company administration which may occur in Anjouan.

No company shall be considered to be doing business in Anjouan solely because it engages in one or more of the following activities:

  • maintaining one or more bank, trust or securities accounts in Anjouan;
  • holding meetings of directors or shareholders in Anjouan;
  • maintaining corporate or financial records in Anjouan;
  • maintaining an administrative or managerial office in Anjouan with respect
  • maintaining a registered agent or registered office in Anjouan; or
  • investing in stocks or entities doing business in Anjouan or being a partner in a partnership existing under the laws of Anjouan or a beneficiary of a trust or estate which has Anjouan as its status.

No estate, inheritance, succession or gift tax, rate, duty, levy or other similar charge is payable by persons who are not persons resident or domiciled in Anjouan with respect to any shares, debt obligations or other securities of a company incorporated under the IBC Act.

The exemption from taxes and duties shall, at no additional charge to the company, be evidenced by a certificate issued by Anjouan confirming that the company shall be exempt from the taxes described in this section for a period of 25 years from the date of incorporation of the company; provided that the provisions of this Part shall not apply so as to exempt a company incorporated under the IBC Act from increases in fees charged under or pursuant to the IBC Act or to exempt any Resident from the provisions of any law of Anjouan imposing any tax.

Any dividend or distribution by an international business company to another such company, or to individuals, trusts or other entities which are not Residents, shall be exempt from any tax or withholding provisions of Anjouan law which would otherwise be applicable to such company or to the recipient of the dividend or distribution.
